Individual Contributor Assignment Agreement (ICAA)
For contributions to the rdio-scanner project (https://github.com/chuot/rdio-scanner)
Thank you for your interest in contributing to rdio-scanner, an open-source project owned and maintained by Saubeo Solutions (https://saubeo.solutions). This Contributor Agreement explains the rights you transfer to Saubeo Solutions when you submit contributions.
By submitting a pull request, patch, or contribution to this Project, you accept and agree to the terms of this Agreement. Maintainers may also require explicit sign-off for some or all contributions.
1. Definitions
- "You" means the individual submitting a Contribution.
- "Contribution" means any code, documentation, design, data, or other material submitted to the rdio-scanner project in any form.
- "Project" means the rdio-scanner repository and all related materials maintained by Saubeo Solutions.
- "Saubeo Solutions" means the legal owner of the Project and its copyrights.
2. Assignment of Copyright and Related Rights
You hereby irrevocably assign to Saubeo Solutions, and agree to assign upon creation to the fullest extent permitted by law, all right, title, and interest in and to your Contribution, including all copyrights and related rights, worldwide and for the full duration of those rights.
This assignment includes the right for Saubeo Solutions to use, reproduce, modify, adapt, publish, distribute, sublicense, relicense, and otherwise commercialize your Contribution as part of the Project or any derivative work, including under open-source or commercial terms.
To the extent any right cannot be assigned under applicable law, you grant Saubeo Solutions an exclusive, perpetual, worldwide, royalty-free, irrevocable, sublicensable license to that right.
3. Further Assurances
You agree to execute and deliver any additional documents reasonably requested by Saubeo Solutions to confirm, register, perfect, or enforce the rights transferred under this Agreement.
4. Patent License
You grant Saubeo Solutions a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to:
- make, have made, use, offer to sell, sell, import, and otherwise transfer
- any Contribution you submit,
- including any patent claims you own or control that would be infringed by your Contribution.
If you initiate patent litigation against Saubeo Solutions over your Contribution, this patent license terminates immediately.
5. Moral Rights
To the extent permitted by law, you waive any moral rights you may have in your Contribution, such as rights of attribution or integrity. Where such waiver is not legally permitted, you agree not to assert those rights against Saubeo Solutions or downstream recipients to the extent necessary to exercise the rights granted under this Agreement.
Saubeo Solutions will make reasonable efforts to credit contributors in accordance with open-source norms.
6. Your Representations
By submitting a Contribution, you confirm that:
- You wrote the Contribution yourself, or you otherwise have sufficient rights to submit it under this Agreement.
- You are legally entitled to transfer the rights in this Agreement.
- If your employer or another entity has rights in your Contribution, you have obtained all necessary permissions to submit and transfer rights under this Agreement.
- Your Contribution does not knowingly violate any third-party rights, including copyrights, patents, or trade secrets.
- If your Contribution includes third-party code or content, you will clearly identify it and its license terms, and you represent that such inclusion is permitted and license-compatible with the Project.
7. No Warranty
Your Contribution is provided "as is", without warranties or conditions of any kind.
8. Governing Law and Dispute Resolution
This Agreement is intended for worldwide use.
Any dispute arising from this Agreement will first be addressed through good-faith negotiation. If no resolution is reached, the dispute will be finally settled by binding arbitration in a mutually agreed venue and language. If arbitration is not legally available, disputes will be resolved by a court of competent jurisdiction.
9. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, exemplary, or consequential damages arising out of this Agreement.
10. Severability and Survival
If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
Sections 2, 3, 4, 5, 6, 7, 9, and 10 survive termination of this Agreement.
11. Acceptance
By submitting a Contribution to the Project (including via GitHub pull request), you agree to the terms of this Contributor Agreement.
